RESEARCH — THE FILING TAPE #208

Two of 147: CenterSquare Holds 96.7% of the Tracked Alexandria Stake — and Insiders Sold $1.36M Against $0.48M of Buys in 90 Days

November 2, 2026

GetCoattail Research — a filings audit of Alexandria Real Estate Equities, Inc. (ARE) through six filing lenses, as of the latest filings. Past patterns are not a promise of future results. For education only — not investment advice.

The Hype

Alexandria Real Estate Equities, Inc. (ARE) is the real-estate issuer behind this audit. FY2025 filings in the package show a net loss of $1,429,570,000, total assets of $34,081,835,000, and 170,307,000 shares outstanding — about $6.85 billion at the latest close, computed from those shares and the $40.20 close. No FY revenue figure is cited here: the package's revenue series is empty, so revenue is stated as absent rather than filled from an aggregator.

The price file tells a falling story. ARE closed at $40.20 on October 30, 2026 (open $40.45, high $40.92, low $39.62, volume 2,297,678; 21-day average 2,626,932) — down 14.52% over 21 trading days (from $47.03 on October 1), down 24.19% over 63 (from $53.03 on August 3), down 23.94% since June 30 ($52.85), and down 28.69% over one year (from $56.37 on October 30, 2025). The 252-trading-day range to October 30 runs $39.91 (October 28, 2026) to $59.69 (January 23, 2026): the latest close sits $0.29 above the low.

The question is what the filings recorded while the price fell 28.69% over a year: did the tracked funds, the broad market, insiders, Congress, or the control register move with the slide, against it, or not at all?

Superinvestors. Two of 147 tracked managers hold 2,434,023 shares — $128,638,117 reported — and one fund is nearly all of it. CenterSquare Investment Management holds 2,353,556 shares (96.7% of the tracked stake, 1.06% of its portfolio), INCREASED +16.2%, filed August 7, 2026. Christopher Davis of Davis Advisors holds 80,467 shares (3.3%, 0.02% of its portfolio), DECREASED −55.5%, filed August 11, 2026. No holder is new and none exited in Q2, and there are no ARE option rows in the register, so no holder-versus-option confusion is possible here. The tracked stake is 1.43% of shares outstanding and 1.44% of all institutions' reported shares. Counting notes: the denominator is 147 funds with usable Q2 data, not the 149-fund roster — the stock page hero says "held by 2 of 149" — and the Q2 file gives direction labels and rounded change percentages only, so no Q1 share count per holder is stated here.

All institutions. The broad base grew in both shares and value during Q2. Filers rose by 37 net to 598, of which 594 are long, while reported shares rose 38.07% (from 122,461,431 to 169,084,631) and reported value rose to $8,815,182,622 (from $5,567,236,204). Behind the net +37, 568 filers entered and 531 exited. The Q2 snapshot ends June 30 — before the further 23.94% slide to October 30 — so it cannot explain the slide, and it is not read as one move with it.

Insiders. The 90-day tape is mixed, not one-sided, and small next to the tracked stake. In the 90 days to October 2, 2026, there are 2 open-market buys and 2 open-market sells. The buys are both Executive Chairman Marcus Joel S: 5,000 shares at $46.28 on August 17, 2026 ($231,400) and 5,000 shares at $49.68 on September 11 ($248,400), totaling 10,000 shares and $479,800. The sells are Chief Accounting Officer Gavinet Andres: 10,000 shares at $50.93 on August 31 ($509,300); and EVP for Business Operations Fukuzaki-Carlson Kristina: 16,810 shares at $50.51 on September 11 ($849,073.10), totaling 26,810 shares and $1,358,373.10. Sells exceed buys by $878,573.10 in the window. The aggregate's "21 filings" counts all Form 4 filings in the window; only 4 carry P/S transactions, so the 4-row detail file is exact, not a gap. The wider windows tilt the same way but stay mixed: the year window holds 12 buys (66,600 shares, $3,190,722.95, 3 buyers) against 6 sells (37,534 shares, $1,904,879.30, 6 sellers), and the corpus aggregate is identical to the year window. The site aggregate as of November 1, 2026 shows the same 2 buys and 2 sells with the same values, consistent with no new P/S transactions between October 3 and November 1. The two windows are not presented as two different findings.

Congress. One purchase in the panel, one older sale in the history, and the difference is a window rule, not a mystery. Combined House/Senate data as of October 3, 2026: 1 purchase, 0 sales; no Senate row, so the purchase is House-side. Rep. Gilbert Cisneros (Democrat, U.S. House) reported a purchase of Alexandria common stock [ST], transacted April 14, 2026, notified May 7, 2026, PTR filed May 8 — 24 days after the trade, inside the 45-day STOCK Act window, so not described as late — amount $1,001–$15,000, House PTR document 20034500. Member page, PTR PDF text, and staging row agree on member, ticker, type, date, and amount, so the row is triple-verified. The staging history also holds a Cisneros sale on December 19, 2025 (document 20033762, $1,001–$15,000). That sale is NOT in the panel totals because the panel counts only transactions dated on or after 2026-04-01 — the cutoff in the panel builder and the members page wording alike. Panel and history are therefore kept separate: "1 buy / 1 sell" is never presented as panel totals, and "1 buy / 0 sells" is never presented as all-history totals.

13D/G. The control register is passive — index holders, no activist. In the current collection, 4 filings match issuer CIK 1035443: 0 Schedule 13D, 4 Schedule 13G-family filings, 2 amendments, 4 reporters, latest filing April 29, 2026, maximum reported stake 8.7%. The 4 reporter rows sum to 41,232,152 shares — a reporter-row sum, never shares owned: the two Vanguard reporters may overlap in underlying fund holdings, and a 0-share amendment row is included at zero. Rows: BlackRock, Inc. — SC 13G/A, filed April 24, 2026, 15,113,497 shares, 8.7% (the maximum); Vanguard Portfolio Management — SC 13G, filed April 28, 2026, 13,870,311 shares, 8.0%; Vanguard Capital Management — SC 13G, filed April 29, 2026, 12,248,344 shares, 7.06%; The Vanguard Group — SC 13G/A, filed March 26, 2026, 0 shares, 0.0% — an amendment that zeroes the group-level filing as Vanguard split into the Portfolio and Capital Management reporters, explained here rather than listed bare as a "0-share holding." A separate older corpus (18 rows, 2021–2024) is never merged into this series, and its blank share counts are source blanks, not zeros.

Short interest. The bear trade is moderate and the fails footprint is nearly gone. FINRA short interest: 6,756,134 shares at September 15, 2026, 4.55 days to cover, 3.88% of shares outstanding (the stock page's base). Series: 7,563,460 (June 30), 7,824,611 (July 15), 6,878,589 (July 31), 6,806,547 (August 14), 7,299,131 (August 31), 6,756,134 (September 15) — down 10.67% from June 30. Fails-to-deliver: 40,433 on June 30 (0.5346% of short interest, the series spike), then 291, 0, 0, 0, and 2,462 on September 15 (0.0364% of short interest, 0.00% of shares outstanding on the stock page). No persistent fails footprint in this lens.

ARE short interest: 6 FINRA settlements, June 30 to September 15, 2026, latest 6,756,134 shares, below the June 30 level of 7,563,460; fails-to-deliver 2,462 on September 15 after a June 30 spike of 40,433
Chart 2: ARE short interest, 6 FINRA settlements from June 30 to September 15, 2026. Latest settlement September 15, 2026: 6,756,134 shares, 4.55 days to cover, 3.88% of shares outstanding; fails-to-deliver 2,462 (June 30 spike: 40,433).

Prices and fundamentals. Last close: $40.20 on October 30, 2026 (open $40.45, high $40.92, low $39.62, volume 2,297,678; 21-day average 2,626,932). Changes: −14.52% over 21 trading days (from $47.03, October 1), −24.19% over 63 (from $53.03, August 3), −23.94% since June 30 ($52.85), −13.40% since March 31 ($46.42), −17.86% year to date (from $48.94, December 31, 2025), −28.69% over one year (from $56.37, October 30, 2025). Closes are split-adjusted Yahoo bars as used by the site, not dividend-adjusted total return. Supplementary page context: the stock page's recent 8-K block lists October 26, 2026 (Items 2.02, 9.01), September 24, 2026 (Items 1.01, 2.03), and August 21, 2026 (Items 1.01, 2.03, 9.01). Fundamentals: FY2025 net loss $1,429,570,000, total assets $34,081,835,000, shares outstanding 170,307,000; FY revenue is not cited because the package's revenue series is empty, and no exchange is cited because the package states none.

The Gap

The price fell 28.69% over a year while the filings show drift, not conviction. The tracked book is tiny — 2 of 147 funds, 1.43% of shares outstanding — and split in opposite directions: one fund added 16.2%, the other cut 55.5%, with no new holder and no exit. The broad base grew 38.07% in shares during Q2, but that snapshot ends June 30, before the further slide, so it cannot explain it. Insiders are mixed rather than one-sided: the chairman bought twice ($479,800) while two officers sold ($1,358,373.10), a net $878,573.10 of selling in 90 days — small next to the $128.6M tracked stake and the $8.8B broad base. Congress adds one small-range purchase inside the panel window plus one older sale outside it. The control register adds no activist pressure: 0 Schedule 13D filings, largest stake an 8.7% BlackRock 13G. The short lens adds no squeeze setup: short interest fell 10.67% from June 30, days to cover 4.55, and fails are near zero after the June spike. The record does not show a coordinated buy, and it does not show a crowded short either.

What Would Change the Picture

As-of & Limits

LensAs ofLimit or note
Superinvestors (13F)Jun 30, 202613F figures are as of June 30, 2026, the quarter-end. Funds have up to 45 days after quarter-end to file, so this is the most recent complete picture — and it is always a lagging one. Single CUSIP 015271109. Denominator 147 = funds with usable Q2 data (roster 149); the stock page hero says "held by 2 of 149." Q1 share counts per holder are not in any workspace file found, so direction labels and rounded change percentages only are stated; no Q1 share count is backed out from a rounded percentage. CongressOct 3, 2026Panel: 1 member (Cisneros, Gilbert, D), 1 purchase, 0 sales; Senate: no ARE row.
